Service
These Terms govern your use of DIDADI Logistics Tech's end-to-end supply chain services -- from FBA First-Leg and overseas warehousing to FCL door-to-door fulfillment and our AI-powered logistics platform. By engaging our solutions, you agree to be bound by these terms.
Important Notice
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and DIDADI Logistics Tech Co., Ltd. ("DIDADI," "we," "us," or "our"), a company incorporated under the laws of the People's Republic of China, headquartered in Shenzhen. By accessing our platform, requesting a quote, or utilizing any of our logistics services -- including FBA First-Leg, overseas warehousing, FCL door-to-door, or our tech platform -- you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
Acceptance of Terms
By accessing or using DIDADI Logistics Tech's services, website, or digital platforms, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into binding agreements.
- If acting on behalf of a company or organization, you have the authority to bind that entity to these Terms.
- You have read, understood, and agree to comply with all provisions of these Terms and any applicable supplemental agreements, including our Privacy Policy.
- You consent to DIDADI's collection and use of your data as described in our Privacy Policy (see Section 12).
These Terms supersede any prior oral or written agreements between you and DIDADI. DIDADI reserves the right to update these Terms at any time, with notice provided via email or platform notification at least 30 days prior to material changes taking effect.
Continued use of our services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services immediately and settle any outstanding obligations.
Definitions
Throughout these Terms, the following defined terms carry the meanings specified below:

Service Availability & Estimates
DIDADI reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice. Service availability may be affected by force majeure events, regulatory changes, carrier capacity, or other factors beyond our reasonable control.
Delivery timelines (ranging from 1-12 days for express air to 30-45 days for economy sea freight) are estimates based on normal operating conditions and do not constitute guaranteed delivery dates unless explicitly stated in a separate Service Level Agreement (SLA).
Third-Party Carriers & Partners
DIDADI operates through a network of vetted carriers, freight forwarders, customs brokers, and warehouse operators. As an official Amazon SPN and SHEIN Certified Partner, we maintain the highest partner standards. While we exercise due diligence in partner selection, DIDADI's liability for third-party service failures is limited as described in Section 7.
Client Obligations
As a client of DIDADI Logistics Tech, you agree to fulfill the following obligations to ensure smooth and lawful service delivery:
Accurate Information
- Provide complete, accurate, and truthful cargo descriptions including weight, dimensions, declared value, HS codes, and country of origin.
- Ensure all shipping documentation (commercial invoices, packing lists, certificates of origin, etc.) is accurate and compliant with destination country regulations.
- Notify DIDADI immediately of any changes to shipment details, consignee information, or delivery requirements.
- Maintain accurate and up-to-date account information on the DIDADI platform.
Cargo Preparation
- Ensure cargo is properly packaged, labeled, and prepared for international transit in accordance with carrier and regulatory requirements.
- Provide adequate packaging to protect goods during multi-modal transportation including sea, air, rail, and road segments.
- Apply required markings, labels, and barcodes (including Amazon FBA labels where applicable) prior to handover -- unless FBA prep services are contracted through our overseas warehousing solutions.
Regulatory Compliance
- Ensure all goods comply with applicable import/export regulations of both origin and destination countries.
- Obtain all necessary export licenses, permits, and certifications prior to shipment.
- Cooperate fully with customs authorities and provide requested documentation in a timely manner.
- Comply with all applicable sanctions laws, trade embargoes, and denied party lists.
Platform Usage
- Maintain the security of your account credentials and notify DIDADI immediately of any unauthorized access.
- Use the DIDADI platform and API integrations only for their intended purpose in connection with your logistics operations.
- Ensure that data submitted through the platform is accurate and does not contain malicious code or content.
Accuracy Responsibility
You bear full responsibility for the accuracy of all information provided to DIDADI. Inaccurate declarations may result in customs delays, fines, cargo seizure, or additional charges -- all of which shall be borne by the Client.
Prohibited Goods
DIDADI Logistics Tech specializes in general cargo and expressly prohibits the shipment of the following categories of goods through our network:
Hazardous Materials
- Explosives and pyrotechnics
- Flammable liquids and gases
- Corrosive and toxic substances
- Radioactive materials
Illegal & Controlled Items
- Narcotics and controlled substances
- Counterfeit or trademark-infringing goods
- Weapons, firearms, and ammunition
- Sanctioned goods under applicable embargoes
Restricted (Pre-Approval Required)
- Lithium batteries (standalone, exceeding limits)
- Food, pharmaceuticals, and medical devices
- Live animals and perishable goods
- High-value items exceeding USD 50,000
Accepted General Cargo
- Consumer electronics (with batteries installed)
- Apparel, textiles, and accessories
- Home goods and furniture
- Industrial equipment and machinery parts
Shipment of prohibited goods without prior written authorization constitutes a material breach of these Terms and may result in immediate service termination, cargo seizure, and civil or criminal liability. All costs arising from prohibited goods shipments shall be borne solely by the Client. For questions about cargo eligibility, contact our compliance team.
Pricing & Payment
Quotation & Pricing
All prices quoted by DIDADI are valid for the period specified in the quotation, typically 7 calendar days unless otherwise stated. Prices are subject to change based on fluctuations in fuel surcharges, carrier rates, currency exchange rates, and regulatory changes.
Final invoiced amounts may differ from initial quotes due to:
- Actual weight or volumetric weight discrepancies from declared figures
- Additional customs duties, taxes, or inspection fees imposed by authorities
- Surcharges for peak seasons, port congestion, or emergency fuel adjustments
- Additional services requested after initial booking confirmation (e.g., FBA prep, relabeling)
- Warehousing storage fees exceeding the agreed free storage period

Late Payment & Liens
Overdue payments shall accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower). DIDADI reserves the right to exercise a general lien over all cargo in our possession pending full settlement of outstanding amounts. Costs of collection, including reasonable legal fees, shall be borne by the Client.
All prices are quoted in USD unless otherwise specified. Clients are responsible for any bank transfer fees, currency conversion costs, or intermediary bank charges. To request a customized quote, visit our quote request page.
Liability & Insurance
Limitation of Liability
DIDADI's total liability for any single claim or series of related claims arising from or in connection with our services shall not exceed the lesser of:
- The declared value of the affected cargo as stated in the commercial invoice
- USD 2.00 per kilogram of gross weight of the affected cargo
- The total freight charges paid by the Client for the affected shipment
Exclusions from Liability
DIDADI shall not be liable for loss, damage, or delay arising from:
- Acts of God, natural disasters, pandemics, or force majeure events
- Acts of war, terrorism, civil unrest, or government actions
- Inherent defects, vice, or nature of the cargo
- Improper or insufficient packaging by the Client
- Inaccurate or incomplete documentation provided by the Client
- Customs delays, inspections, or seizures resulting from Client's compliance failures
- Amazon FBA receiving delays or FBA-side inventory discrepancies after confirmed delivery
- Consequential, indirect, or punitive damages of any kind
Cargo Insurance
DIDADI's standard service does not include all-risk cargo insurance. Clients are strongly advised to obtain independent marine cargo insurance covering the full declared value of their goods. DIDADI can arrange cargo insurance on your behalf upon written request, subject to additional premium charges and insurer approval.
Claims Notification Requirement
All claims for loss or damage must be submitted in writing to DIDADI within 7 calendar days of delivery (or the scheduled delivery date in cases of non-delivery). For warehousing damage claims, notification must be made within 48 hours of discovery. Failure to notify within these periods may result in forfeiture of the right to claim.
Customs & Regulatory Compliance
Cross-border logistics necessarily involves compliance with the customs laws and import/export regulations of multiple jurisdictions. The following provisions govern customs-related matters:
Customs Brokerage
Where customs clearance is included in DIDADI's contracted services, we engage licensed customs brokers in the destination country to facilitate clearance. DIDADI acts as agent for the Client in customs matters and shall not be liable for duties, taxes, or penalties assessed by customs authorities. Our Frictionless Clearance solutions are designed to minimize delays across all target markets.
Duties & Taxes
All import duties, VAT, GST, customs processing fees, and other government-imposed charges are the sole responsibility of the Client (importer of record) unless a Delivery Duty Paid (DDP) arrangement has been explicitly agreed in writing. DIDADI may advance these payments on the Client's behalf and will invoice accordingly.
Trade Compliance Programs
DIDADI participates in and supports the following trade compliance frameworks across our key markets:
- United States: CBP Importer Security Filing (ISF/10+2), C-TPAT standards alignment
- European Union: AEO (Authorized Economic Operator) facilitation, ICS2 Entry Summary Declaration
- United Kingdom: HMRC Import Control System compliance, post-Brexit procedures
- Canada: CBSA PIP (Partners in Protection) program alignment
Export Controls
Clients are solely responsible for ensuring their goods do not violate export control laws of the People's Republic of China, the United States (EAR/ITAR), the European Union, or any other applicable jurisdiction. DIDADI reserves the right to refuse or halt shipments suspected of violating export control regulations without liability.
Amazon FBA Compliance Note
For FBA First-Leg shipments, DIDADI ensures compliance with Amazon's specific receiving requirements including shipment labeling standards, appointment scheduling, and carton content information. However, compliance with Amazon Seller Central policies (product listing, category restrictions) remains the Client's responsibility.
Warehousing & Fulfillment Terms
The following terms apply specifically to clients utilizing DIDADI's overseas warehouse network across the US, UK, Germany, France, and Italy:
Storage & Inventory
- Clients are responsible for maintaining accurate inventory records through the DIDADI platform. Physical counts performed by DIDADI shall be considered authoritative in case of discrepancy.
- A free storage period of 30 days applies from the date of inbound receipt. Storage fees are charged monthly thereafter at the rate specified in the applicable warehouse service agreement.
- Inventory not claimed or for which no instructions are received within 180 days of the last activity may be classified as abandoned goods, subject to disposal at the Client's expense.
Fulfillment Services
- DTC Dropshipping: One-piece fulfillment orders are processed within 24-48 hours of receipt, subject to warehouse capacity and carrier availability.
- FBA Preparation: Includes inspection, labeling, polybagging, bundling, and palletizing per Amazon's requirements. Additional charges apply per unit as quoted.
- Return Handling: Returns received at DIDADI warehouses are inspected, graded, and restocked or disposed of per Client instructions. Processing fees apply.
Warehouse Liability
DIDADI maintains commercially reasonable security measures at all warehouse facilities. Liability for goods in storage is limited to USD 0.50 per pound per article unless the Client declares a higher value in writing and pays the applicable storage insurance premium.

Inbound Receiving
- All inbound shipments must be pre-registered on the DIDADI platform with accurate SKU information, quantities, and expected arrival dates.
- Unregistered or improperly documented inbound shipments may be refused or subject to additional processing fees and delays.
- DIDADI will inspect inbound goods for visible damage and report discrepancies within 3 business days of receipt. Concealed damage claims must be supported by photographic evidence.
Technology Platform Terms
DIDADI's self-developed digital logistics platform provides AI-driven real-time tracking, automated order processing, and seamless integration with major e-commerce ecosystems. The following terms govern platform usage:
Platform Access & Accounts
- Access to the DIDADI platform requires registration and creation of a user account with accurate business information.
- You are responsible for all activities conducted through your account. Multi-user access is available under enterprise plans with role-based permissions.
- DIDADI may suspend or terminate platform access for violation of these Terms, security concerns, or prolonged inactivity (12+ months).
API & ERP Integration
- DIDADI provides API access for integration with Amazon, eBay, Shopify, and other e-commerce platforms, as well as custom ERP systems.
- API usage is subject to rate limits, authentication requirements, and the separate API Usage Agreement provided upon API key issuance.
- DIDADI may update API specifications with 30 days' written notice. We make commercially reasonable efforts to maintain backward compatibility but cannot guarantee it for deprecated endpoints.
- Clients are responsible for maintaining their integration code and adapting to API changes within the notice period.
AI-Driven Tracking & Data
- Real-time tracking data is provided on a best-effort basis and may experience delays due to carrier data feeds, customs processing, or system maintenance.
- AI-generated predictions (estimated delivery dates, route optimization suggestions) are advisory and do not constitute guarantees.
- Tracking data is retained for 24 months from shipment completion for audit and compliance purposes.
Platform Availability
DIDADI targets 99.5% platform uptime but does not guarantee uninterrupted service. Scheduled maintenance windows will be communicated 48 hours in advance. DIDADI shall not be liable for losses arising from platform downtime, data transmission errors, or integration failures beyond our reasonable control.
Intellectual Property
DIDADI's Intellectual Property
All content, trademarks, logos, software, technology platforms, algorithms, and proprietary logistics systems developed by DIDADI Logistics Tech are and shall remain the exclusive property of DIDADI. This includes our self-developed AI-driven tracking system, route optimization algorithms, and all associated APIs and integrations.
Clients are granted a limited, non-exclusive, non-transferable license to use DIDADI's platform and APIs solely for the purpose of managing their logistics operations through our services. This license does not permit:
- Reverse engineering, decompiling, or disassembling any DIDADI software or algorithms
- Reproducing, distributing, or creating derivative works from DIDADI's proprietary systems
- Using DIDADI's trademarks or branding without prior written consent
- Sub-licensing access to DIDADI's platform to third parties
- Scraping, data mining, or automated extraction of data from the platform
Client's Intellectual Property
DIDADI acknowledges that all product designs, branding, labels, and proprietary information provided by Clients remain the Client's intellectual property. DIDADI will not use Client IP for any purpose other than fulfilling the contracted logistics services, and will implement reasonable measures to protect Client IP from unauthorized disclosure -- particularly during FBA prep, labeling, and fulfillment operations at our warehouse facilities.
Data Protection & Privacy
DIDADI is committed to protecting personal data in compliance with applicable data protection regulations, including the EU General Data Protection Regulation (GDPR), the UK GDPR, the California Consumer Privacy Act (CCPA), and China's Personal Information Protection Law (PIPL).
Data We Collect
- Business contact information (name, email, phone, company details)
- Shipment data (cargo descriptions, consignee details, delivery addresses, tracking information)
- Financial information necessary for billing and payment processing
- Platform usage data, API call logs, and system logs for service optimization
- Warehouse inventory data, order history, and fulfillment records
How We Use Your Data
- Fulfilling contracted logistics, warehousing, and fulfillment services
- Processing customs documentation and regulatory filings
- Communicating shipment status, delays, and service notifications
- Improving our platform, AI tracking, and service offerings through analytics
- Complying with legal obligations and regulatory reporting requirements
Data Sharing & Transfers
DIDADI may share Client data with carriers, customs authorities, warehouse operators, and other service partners as necessary to fulfill logistics services. International data transfers are conducted in accordance with applicable legal frameworks, including Standard Contractual Clauses for EU data transfers.

Term & Termination
Term
These Terms remain in effect from the date of your first use of DIDADI's services and continue until terminated by either party in accordance with the provisions below, or until superseded by a mutually executed Master Service Agreement.
Termination by Client
You may terminate your use of DIDADI's services at any time by providing written notice. Termination does not relieve you of obligations arising from:
- Shipments already in transit or booked for departure
- Outstanding invoices for services rendered
- Inventory remaining in DIDADI warehouses (storage fees continue until retrieval)
- Cancellation fees for shipments cancelled after booking confirmation
Termination by DIDADI
DIDADI may terminate or suspend services immediately upon written notice in the following circumstances:
- Material breach of these Terms that remains uncured 14 days after notice
- Non-payment of invoices exceeding 30 days past due
- Discovery of prohibited goods in Client's shipments
- Fraudulent or misrepresented information in any documentation
- Client's insolvency, bankruptcy, or cessation of business operations
- Violation of platform usage terms or API abuse
Effect of Termination
Upon termination:
- DIDADI will arrange for cargo in transit to be delivered to the last confirmed destination.
- Warehouse inventory will be held at the Client's risk and expense for up to 60 days pending collection instructions.
- Platform access will be revoked, and API keys deactivated.
- Client data will be retained per our Privacy Policy retention schedule.
Sections relating to liability, intellectual property, dispute resolution, data protection, and payment obligations shall survive termination.
Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles. For Clients based in the European Union or United Kingdom, mandatory consumer protection laws of the Client's jurisdiction shall apply to the extent required by law.
Resolution Process
The parties agree to attempt resolution of any dispute through the following escalating process:
- Direct Negotiation: Either party may notify the other in writing of a dispute. The parties shall attempt to resolve the dispute through good-faith negotiations within 30 days of such notice, with the involvement of a designated account manager.
- Mediation: If direct negotiation fails, the parties agree to participate in non-binding mediation administered by a mutually agreed mediator within 60 days.
- Arbitration: Unresolved disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with proceedings conducted in Shenzhen, China, in the English language.

Nothing in this section prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration proceedings.
